Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and [RosterUp legal entity] (“RosterUp,” “we,” “us”) and govern your use of the RosterUp website, applications, and services (the “Services”). By creating an account or using the Services, you agree to these Terms and to our Privacy Policy.

1. Eligibility and accounts

RosterUp does not currently support self-registration for athletes under 13. Athletes ages 13 through 17 have restricted access until a parent or legal guardian verifies consent by email. You are responsible for the accuracy of your account information and for keeping your credentials secure. You are responsible for all activity under your account.

2. The RosterUp marketplace

RosterUp is a platform that connects athletes and families (“Players”) with independent trainers (“Trainers”) and sports organizations (“Organizations”). RosterUp is not a party to the actual training, coaching, or events arranged between users, does not employ Trainers, and does not supervise sessions. Trainers and Organizations are solely responsible for the services they provide.

You retain ownership of the content you submit (profiles, photos, videos, messages, and listings). You grant RosterUp a non-exclusive, worldwide, royalty-free license to host, store, display, and use that content as needed to operate and promote the Services. You represent that you have the rights to the content you submit.

5. Trainer and Organization obligations

Trainers and Organizations represent that they hold any licenses, certifications, insurance, and clearances (including background checks where required) necessary to provide their services lawfully, and that they will comply with all applicable youth-protection laws and standards. RosterUp does not independently verify these unless expressly stated.

6. Intellectual property

The Services, including software, design, and trademarks, are owned by RosterUp or its licensors and are protected by intellectual-property laws. These Terms do not grant you any right to use RosterUp's marks without our prior written permission.

7. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. RosterUp does not warrant the conduct, qualifications, or performance of any Trainer, Organization, or Player.

8. Limitation of liability

To the maximum extent permitted by law, RosterUp will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the Services. RosterUp's total liability for any claim will not exceed the greater of the fees you paid to RosterUp in the [12] months before the claim or [USD amount].

9. Indemnification

You agree to indemnify and hold harmless RosterUp from claims, damages, and expenses (including reasonable legal fees) arising from your content, your use of the Services, or your violation of these Terms or the rights of others.

10. Dispute resolution and governing law

These Terms are governed by the laws of [State], without regard to conflict-of-laws rules. Any dispute will be resolved [by binding arbitration in [venue] / in the courts located in [venue]], except that either party may seek injunctive relief for intellectual-property or misuse claims. You may stop using the Services and delete your account at any time. We may suspend or terminate your access if you violate these Terms or to protect the Services or other users. Sections that by their nature should survive termination will survive.

We may update these Terms from time to time. We will post the updated version with a new “Last updated” date and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance.
